1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by Stack Support Holdings (Pty) Ltd. (“Stack Support”, “we”, “us”, “our”). By accessing or using our services, you agree to be bound by these Terms.
2. Services
Stack Support provides systems modernisation, operational infrastructure consulting, and subscription-based operational products. The scope of services for consulting engagements is defined in individual project agreements. Subscription products are described on our website at the time of purchase.
3. Subscriptions and Payment
- Subscription fees are billed in advance on a monthly or annual basis via PayPal.
- All prices are quoted in United States Dollars (USD).
- Subscriptions automatically renew at the end of each billing period unless cancelled.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.
- We reserve the right to adjust pricing with 30 days’ written notice before the next billing cycle.
4. Consulting Engagements
Consulting services are governed by individual statements of work or project agreements. These Terms apply in addition to any project-specific agreements. In the event of a conflict, the project-specific agreement takes precedence.
5. Intellectual Property
All intellectual property created by Stack Support in the course of a consulting engagement is assigned to the client upon full payment, unless otherwise specified in the project agreement. Stack Support retains the right to use general methodologies, frameworks and tools developed independently.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Stack Support shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunities arising from or related to your use of our services.
Our total liability for any claims arising under these Terms shall not exceed the total amount paid by you to Stack Support in the twelve (12) months preceding the claim.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives the termination of these Terms or any project agreement.
8. Termination
Either party may terminate a consulting engagement with 30 days’ written notice. Stack Support reserves the right to suspend or terminate access to subscription services for non-payment or breach of these Terms.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with reasonable notice. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
